Welcome to Memory Gold. These Terms of Service (“Terms”) govern your access to and use of the Memory Gold website, software, applications, interview tools, AI-assisted storytelling tools, transcription, translation, editing, formatting, digital memoir creation, and related products and services, including any future physical print fulfillment services (collectively, the “Services”).

These Terms form a legally binding agreement between you and Memory Gold (“Memory Gold,” “Company,” “we,” “us,” or “our”). By accessing, purchasing, registering for, participating in, or using the Services, you agree to these Terms and to our Privacy Policy.

If you do not agree to these Terms, do not access or use the Services.

1. Important Role Definitions

Memory Gold is designed around a fixed two-role project structure. Each Memory Gold project includes:

a Buyer, who purchases, pays for, initiates, and manages the project; and

a Storyteller, whose memories, voice, likeness, photographs, language, family history, and personal stories are collected, recorded, transcribed, translated, edited, organized, or transformed into a Memory Gold deliverable.

The Buyer and Storyteller may be the same person or two different people.

For example, an adult child may purchase Memory Gold for a parent or grandparent. In that case, the Buyer and Storyteller are two different people.

Alternatively, an individual may purchase Memory Gold for themselves. In that case, the Buyer is also the Storyteller.

1.1 Buyer

The “Buyer” is the person who purchases, pays for, initiates, and manages the Memory Gold project. The Buyer may be purchasing the Services for themselves or for another person.

The Buyer is responsible for billing, account administration, and acceptance of payment-related terms.

1.2 Storyteller

The “Storyteller” is the person whose life story, memories, voice, likeness, photographs, family history, language, and personal recollections are collected, recorded, transcribed, translated, edited, organized, or transformed into a Memory Gold deliverable.

When the Buyer purchases Memory Gold for themselves, the Buyer is also the Storyteller.

When the Buyer purchases Memory Gold for another person, the Storyteller must separately consent to participate in the Services, including any recording, transcription, translation, AI processing, editorial assistance, and use of their submitted content to create the final deliverable.

1.3 Fixed Two-Role Structure

Memory Gold is not a social network, open publishing platform, or group collaboration tool. Each project has one Buyer role and one Storyteller role unless Memory Gold expressly enables additional roles in writing.

2. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to act as a Buyer.

A Storyteller must be at least 18 years old to participate in the Services. Memory Gold does not provide Services to Storytellers under 18.

Memory Gold is not directed to children under 13 and does not knowingly collect personal information directly from children under 13.

By using the Services, you represent that you have the legal authority and capacity to enter into these Terms.

3. Buyer and Storyteller Consent

Because the Buyer and Storyteller may be the same person or two different people, Memory Gold uses role-specific consent.

3.1 When the Buyer Is Also the Storyteller

If you purchase Memory Gold for yourself, you are both the Buyer and the Storyteller. You must agree both to the Buyer terms and to the Storyteller consent terms.

This means you agree to:

these Terms;

the Privacy Policy;

all billing, cancellation, refund, and payment terms;

the recording and processing of your voice, likeness, photographs, memories, written responses, and other submitted materials;

transcription of your speech into text;

translation of your speech or text between languages, where applicable;

AI-assisted interviewing, transcription, translation, summarization, organization, editing, and memoir generation;

use of your submitted content to create the final Memory Gold deliverable; and

responsibility for reviewing AI-assisted outputs, translations, drafts, and final deliverables for accuracy.

3.2 When the Buyer and Storyteller Are Different People

If the Buyer purchases Memory Gold for another person, the Buyer and Storyteller must provide separate consent.

The Buyer must agree to:

these Terms;

the Privacy Policy;

all billing, cancellation, refund, and payment terms;

responsibility for providing accurate Buyer information;

responsibility for inviting the correct Storyteller;

responsibility for transmitting the advance notice described in Section 11 to the Storyteller prior to service activation;

responsibility for not submitting content that violates law or third-party rights; and

responsibility for not pressuring, misleading, manipulating, or coercing the Storyteller into participating.

The Storyteller must separately agree to:

participate voluntarily;

be interviewed, recorded, transcribed, translated, summarized, edited, and formatted;

allow Memory Gold and its service providers to process their voice, words, photographs, likeness, and other submitted content for the purpose of providing the Services;

allow AI tools to assist with interviewing, transcription, translation, organization, editing, and narrative generation;

understand that the final memoir, drafts, transcripts, translations, recordings, photographs, and related materials may be shared with the Buyer;

understand that they may request deletion or withdrawal subject to the limitations described in these Terms and the Privacy Policy; and

confirm that they understand the nature of the Services.

3.3 Call Recording Consent

All calls placed by Memory Gold to the Storyteller, including the introductory onboarding call and all weekly story calls, will be recorded. Memory Gold will provide notice of recording at the start of each call.

When the Buyer and Storyteller are different people, by enrolling the Storyteller in the Services the Buyer warrants that they have:

informed the Storyteller that all calls placed by Memory Gold will be recorded; and

obtained the Storyteller’s consent to such recording.

The Storyteller’s participation in the onboarding call and their confirmation response during that call constitutes their consent to recording of all subsequent weekly calls. Memory Gold will provide a scripted consent prompt at the start of each call in the Storyteller’s preferred language.

This section is intended to comply with applicable recording consent laws, including California Penal Code § 632. If you are unsure whether recording consent has been obtained, do not enroll the Storyteller until consent is confirmed.

3.4 No Storyteller Participation Without Consent

When the Buyer and Storyteller are different people, the Buyer may not submit recordings, photographs, written answers, or other personal content of the Storyteller unless the Storyteller has consented or the Buyer has legal authority to provide such content.

If Memory Gold learns that a Storyteller has not consented, we may suspend the project, restrict access, delete content, request additional verification, or terminate the account.

4. Description of the Services

Memory Gold helps preserve personal and family histories. The Services may include:

guided interviews;

voice recording via automated telephone calls;

audio transcription;

language translation;

AI-assisted follow-up questions;

organization of memories into themes and timelines;

editing, summarization, rewriting, and formatting;

creation of a digital family history, memoir, biography, or similar artifact;

upload and organization of family photographs or documents;

print fulfillment and physical book services; and

related customer support and account services.

Memory Gold may modify, add, remove, suspend, or discontinue features at any time.

4.1 Free Sample Calls

Memory Gold may offer a free introductory story call, free sample call, or similar promotional experience (“Free Sample Call”) to allow a prospective Buyer or Storyteller to experience the Services before purchasing a paid plan.

No payment information is required to schedule or participate in a Free Sample Call. Participating in a Free Sample Call does not automatically enroll you in a paid plan or recurring billing arrangement. You will only be charged if you later choose to purchase a paid Memory Gold plan and provide payment information.

During a Free Sample Call, Memory Gold may record the call and use the Storyteller’s responses to create a sample story, preview, excerpt, or other limited demonstration of the Services. Before any Free Sample Call is recorded, Memory Gold will provide notice and request the Storyteller’s consent to recording and story preparation.

If you do not purchase a paid plan after the Free Sample Call, Memory Gold may retain the Free Sample Call recording, transcript, sample story, and related data for a limited period for follow-up, quality, legal, security, and operational purposes, unless deletion is requested or a longer retention period is required or permitted by law.

4.2 Service Delivery

Memory Gold’s core service consists of automated weekly telephone calls to the Storyteller, delivered over a period of approximately 52 weeks. Memory Gold will make commercially reasonable efforts to deliver each call on the Storyteller’s scheduled day and at the Storyteller’s preferred time.

Call delivery may be affected by carrier outages, telephony provider failures, network conditions, the Storyteller’s telephone service, or other factors outside Memory Gold’s control. Memory Gold does not guarantee delivery on any specific day or at any specific time. In the event of a delivery failure, Memory Gold’s obligation is to retry delivery as described in our service documentation. Delivery timing is not guaranteed and does not constitute a material breach of these Terms.

Service Delivery Threshold. Service delivery is deemed to begin upon the Storyteller’s first answered call. A call is considered answered when the Storyteller’s telephone is connected and the call session is established. Failed delivery attempts, voicemails, and call errors do not constitute service delivery and do not trigger the service delivery threshold.

4.3 Service Pause and Resume

Automatic Pause. If the Storyteller does not answer four (4) consecutive weekly calls, Memory Gold will automatically pause the project. The Buyer will be notified by email when a project is automatically paused.

Paused Time Excluded from Clock. Time during which a project is paused does not count against the 52-week service period. The 52-week clock runs only during active delivery weeks.

Resume. When a paused project resumes, delivery restarts at the last unanswered question. Weekly delivery resumes at one question per week. Missed questions are not delivered in bulk.

Either party may also request a manual pause or resume at any time by contacting Memory Gold. Manual pause requests are subject to Memory Gold’s review and approval.

5. AI-Assisted Services

5.1 AI Functions

AI tools may be used to:

generate interview questions;

transcribe audio;

translate speech or text from one language to another;

summarize long answers;

organize events chronologically;

identify themes;

draft narrative passages;

improve grammar, clarity, or readability;

format memories into a cohesive story; and

assist with title, chapter, or layout suggestions.

5.2 AI Is Assistive, Not Perfect

AI-generated content may be inaccurate, incomplete, mistranslated, misleading, or inconsistent with the Storyteller’s intent. The Buyer and Storyteller are responsible for reviewing, editing, verifying, and approving the final deliverable before relying on, publishing, printing, or sharing it.

5.3 No Professional Advice

The Services do not provide legal, medical, financial, psychological, genealogical, historical, immigration, or professional advice. Memory Gold does not verify the factual accuracy of memories or family histories.

5.4 AI Disclosure

By using the Services, the Buyer and Storyteller acknowledge that AI tools may process submitted content. Memory Gold will not knowingly use Storyteller content to train public foundation AI models.

6. User Content

“User Content” means any content submitted, uploaded, recorded, dictated, transmitted, imported, or otherwise provided through the Services, including:

audio recordings;

written responses;

interview answers;

transcriptions;

translations;

photographs;

family documents;

names, dates, and locations;

biographical details;

stories about relatives or third parties;

notes, edits, and comments; and

any other materials submitted by the Buyer or Storyteller.

7. Ownership of User Content

As between you and Memory Gold, the Buyer and/or Storyteller retain ownership of their User Content.

Memory Gold does not claim ownership of your raw memories, photographs, recordings, transcripts, translations, or personal stories.

8. License to Memory Gold

To provide the Services, you grant Memory Gold a limited, worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, transcribe, translate, process, analyze, edit, format, display, transmit, and create derivative works from User Content solely for the purpose of:

operating the Services;

creating the Memory Gold deliverable;

providing customer support;

maintaining security and backups;

troubleshooting technical issues;

complying with law;

improving the user experience in a privacy-protective manner; and

performing other functions described in these Terms and the Privacy Policy.

This license ends when the User Content is deleted from our active systems, except where continued retention is required for legal, security, backup, compliance, dispute resolution, or legitimate business purposes.

9. Ownership of Final Deliverables

Subject to full payment and these Terms, the final compiled digital memoir, family history, biography, or similar personalized deliverable created for a project belongs to the Buyer and/or Storyteller as between you and Memory Gold.

Memory Gold retains all rights in its software, templates, prompts, workflows, interview systems, formatting systems, design tools, layouts, proprietary methods, trademarks, branding, and platform technology.

10. Third-Party Rights and Family Member Content

Family histories often include information about relatives, friends, children, deceased persons, and other third parties.

By submitting User Content, you represent and warrant that:

you have the right to submit the content;

your submission does not violate any law, contract, confidentiality obligation, privacy right, publicity right, copyright, trademark, or other third-party right;

you have obtained appropriate consent before submitting photographs, recordings, stories, or personal information about living individuals where required by law;

you will not submit highly sensitive information about another person without authorization; and

you will not submit content that is defamatory, harassing, abusive, exploitative, unlawful, or invasive of privacy.

Memory Gold does not independently verify the accuracy, legality, or permissions associated with User Content.

11. Storyteller Capacity, Voluntary Participation, Elder Consent, and Advance Notice

Because many Storytellers may be older adults, Memory Gold requires clear and voluntary participation.

If the Buyer and Storyteller are different people, the Buyer must not pressure, deceive, manipulate, or coerce the Storyteller into participating. The Storyteller must have a meaningful opportunity to understand the Services, ask questions, decline participation, stop participating, or request deletion as described in the Privacy Policy.

If the Buyer knows or reasonably believes that the Storyteller lacks legal capacity to consent, the Buyer must not enroll the Storyteller unless the Buyer or another person has lawful authority to consent on the Storyteller’s behalf.

Advance Notice Requirement. Prior to service activation, Memory Gold will provide the Buyer with a pre-written advance notice script in the Storyteller’s preferred language. This notice explains the nature of the Services, that calls will be recorded, and how recordings will be used. The Buyer is required to transmit this notice to the Storyteller before the first scheduled call. Transmission of the advance notice is a condition of service activation and constitutes part of the consent record.

Memory Gold may request additional consent confirmation, pause a project, or terminate access if we believe Storyteller consent is incomplete, unclear, disputed, or legally insufficient.

12. Acceptable Use

You may not use the Services to:

violate any law or regulation;

submit content you do not have permission to use;

impersonate another person;

misrepresent your relationship to the Storyteller;

record someone without legally required consent;

submit content that is false, defamatory, threatening, abusive, hateful, sexually exploitative, violent, or unlawful;

submit content that violates another person’s privacy, publicity, intellectual property, or contractual rights;

upload malware or harmful code;

interfere with, scrape, reverse engineer, overload, or disrupt the Services;

use automated systems to access the Services without permission;

attempt to access another user’s account or content;

use the Services to create deceptive deepfakes, impersonations, fraudulent documents, or misleading representations;

use the Services for surveillance or unauthorized profiling; or

use the Services in any way that Memory Gold determines may harm users, the public, or the integrity of the Services.

13. Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

You must notify us promptly if you believe your account has been compromised.

Memory Gold is not responsible for losses caused by unauthorized account access resulting from your failure to protect your credentials.

14. Billing, Payment, and Paid Plans

Free Sample Calls do not require payment information and do not automatically convert into a paid plan.

The Buyer is responsible for all fees, taxes, and charges associated with any paid Memory Gold plan the Buyer affirmatively purchases.

By selecting a paid plan and providing payment information, the Buyer authorizes Memory Gold and its payment processors to charge applicable fees.

Checkout Acknowledgment. At checkout, the Buyer will be asked to confirm that they have participated in or observed a Free Sample Call and understand the nature of the Services. This confirmation is part of the Buyer’s agreement to these Terms, including the cancellation and refund terms in Section 15.

Memory Gold may use third-party payment processors. We do not store full payment card details unless expressly stated.

Prices, features, and plans may change from time to time. Any material changes to ongoing paid plans will be handled as required by applicable law.

15. Cancellations and Refunds

Memory Gold’s refund policy is as follows:

Pre-Service Cancellation. If the Buyer cancels before the Storyteller’s first answered call, the Buyer is entitled to a full refund. A call is considered answered when the Storyteller’s telephone is connected and the call session is established, regardless of the length of the Storyteller’s response. Failed delivery attempts, voicemails, and call errors do not constitute a first answered call.

Post-Service Delivery — No Refund. Once the Storyteller’s first answered call has occurred, the service is considered delivered and the purchase is non-refundable absent an exception described below. The Free Sample Call is provided to allow Buyers to experience the product before purchase. By completing checkout, the Buyer acknowledges they have had the opportunity to experience the Services and understands the no-refund policy.

Death or Incapacitation of Storyteller. If the Storyteller dies or becomes incapacitated during an active project, the Buyer will not forfeit the value of remaining undelivered service. The Buyer may request a service pause and transfer of credit toward a future Memory Gold project for another family member. No formal documentation is required — a brief written explanation is sufficient. Memory Gold will apply this exception at its discretion with a presumption in the Buyer’s favor.

Memory Gold Service Failure. If Memory Gold fails to deliver calls due to a technical error, platform failure, or other cause within Memory Gold’s control, the Buyer may be entitled to a full or partial refund for the affected service period, at Memory Gold’s discretion.

Mid-Service Cancellation by Buyer. If the Buyer cancels after the first answered call but before the project is complete, the Buyer may receive a partial credit for undelivered service weeks, calculated pro-rata from the last answered question. Credits may be applied to a future Memory Gold order and are not redeemable for cash.

Physical Products. Printed books and physical products are eligible for replacement if damaged, defective, or materially misprinted. Shipping fees are non-refundable unless required by law.

Nothing in these Terms limits any non-waivable consumer rights.

16. Review and Approval of Deliverables

The Buyer and Storyteller are responsible for reviewing final or draft deliverables before approval, download, publication, or print.

When the Buyer is also the Storyteller, that person is responsible for reviewing final or draft deliverables before approval, download, publication, or print.

Memory Gold is not responsible for factual inaccuracies, family disputes, omitted events, mistranslations, misunderstood statements, AI hallucinations, spelling variations, name errors, date errors, or subjective disagreements about how memories are presented, except to the extent required by law or expressly promised in writing.

17. Data Retention, Grace Period, and Deletion

Memory Gold may retain User Content while the project is active and for a reasonable period afterward to provide access, support, backups, dispute resolution, legal compliance, and service continuity.

If a payment fails or an account is terminated, Memory Gold may provide a grace period of 90 days during which the Buyer or Storyteller may download available content or restore the account.

After the grace period, Memory Gold may delete or restrict access to User Content and deliverables, subject to backup retention, legal obligations, dispute resolution needs, and our Privacy Policy.

QR Code Audio Permanence. Notwithstanding the foregoing, Memory Gold will maintain the redirect layer for QR codes embedded in printed books for a minimum of twenty-five (25) years from the date of book delivery, even if the associated account lapses or is terminated. The underlying audio files will be retained and the signed URLs servicing those QR codes will be auto-renewed by Memory Gold for the life of this retention commitment. This commitment survives account termination and applies to all printed books delivered under a completed, paid project.

You should maintain your own backup copies of important content. Memory Gold does not guarantee indefinite storage of User Content or deliverables beyond the commitments described in this section.

18. Account Termination

You may stop using the Services at any time. You may request account deletion as described in the Privacy Policy.

Memory Gold may suspend or terminate access if:

you violate these Terms;

payment fails;

Storyteller consent is missing, disputed, or withdrawn;

you misuse the Services;

we are required to do so by law;

continued access would create risk for Memory Gold, users, or third parties; or

we discontinue the Services.

Termination does not relieve the Buyer of payment obligations incurred before termination.

19. Content Removal

Memory Gold may remove, restrict, or refuse to process User Content if we believe it:

violates these Terms;

violates law;

infringes third-party rights;

involves non-consensual recording or use of likeness;

contains abusive, exploitative, or dangerous material;

creates security risk; or

exposes Memory Gold or others to legal or reputational harm.

20. Copyright and Intellectual Property Complaints

If you believe content on the Services infringes your copyright or other intellectual property rights, contact us at:

Your notice should include:

your name and contact information;

identification of the copyrighted work or other protected material;

identification of the allegedly infringing material;

a statement that you have a good-faith belief the use is unauthorized;

a statement that the information is accurate; and

your physical or electronic signature.

21. Privacy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, disclose, retain, and protect personal information.

Because Memory Gold processes sensitive family histories, recordings, translations, and photographs, you should review the Privacy Policy carefully before using the Services.

22. Third-Party Services and Subprocessors

Memory Gold may rely on third-party services for hosting, storage, payment processing, transcription, translation, AI processing, analytics, email, security, customer support, and print fulfillment.

Your use of certain third-party services may be subject to their own terms and privacy policies.

Memory Gold is not responsible for third-party services except as required by law or as expressly stated in these Terms.

23. Service Availability

We aim to provide reliable Services, but we do not guarantee uninterrupted, error-free, secure, or continuous availability.

The Services may be unavailable due to maintenance, outages, technical issues, third-party provider failures, security incidents, or events beyond our control.

24. Disclaimers

To the fullest extent permitted by law, the Services are provided “as is” and “as available.”

Memory Gold disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, availability, and error-free operation.

Memory Gold does not warrant that:

the Services will meet your expectations;

AI outputs will be accurate;

translations will be perfect;

transcriptions will be error-free;

memories will be historically accurate;

deliverables will satisfy all family members;

data will never be lost; or

the Services will be uninterrupted or secure.

Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.

25. Limitation of Liability

To the fullest extent permitted by law, Memory Gold and its officers, directors, employees, contractors, affiliates, suppliers, and service providers will not be liable for:

indirect, incidental, consequential, special, exemplary, or punitive damages;

lost profits;

lost data;

emotional distress;

reputational harm;

family disputes;

inaccurate memories;

mistranslations;

AI-generated inaccuracies;

unauthorized sharing by a Buyer, Storyteller, or third party;

service interruptions; or

loss of goodwill.

To the fullest extent permitted by law, Memory Gold’s total liability for any claim arising out of or relating to the Services will not exceed the greater of:

the amount paid by the Buyer to Memory Gold for the specific project giving rise to the claim during the twelve months before the claim; or

$100.

Nothing in these Terms limits liability that cannot legally be limited.

26. Indemnification

You agree to defend, indemnify, and hold harmless Memory Gold and its officers, directors, employees, contractors, affiliates, suppliers, and service providers from any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising from or related to:

your use of the Services;

your violation of these Terms;

your User Content;

your violation of another person’s rights;

your failure to obtain required consent;

your misrepresentation of authority to act for a Storyteller;

your violation of law; or

any dispute between Buyer, Storyteller, family members, or third parties.

27. Changes to the Services

Memory Gold may modify, suspend, or discontinue any part of the Services at any time.

Where reasonably possible, we will provide notice before discontinuing a material feature that affects access to User Content.

28. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted with a revised “Last Updated” date.

If changes are material, we may provide additional notice, such as email notice or in-product notice.

By continuing to use the Services after updated Terms take effect, you agree to the updated Terms.

29. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules, except where applicable law requires otherwise.

30. Dispute Resolution

Before filing a claim, you agree to contact Memory Gold at privacy@memorygold.co and attempt to resolve the dispute informally.

If the dispute cannot be resolved informally within 30 days, the parties agree to resolve disputes through binding arbitration, except where prohibited by law.

31. International Users

The Services may be accessed from outside the United States, including from Canada. If you use the Services from another country, you understand that your information may be transferred to, stored in, and processed in the United States or other jurisdictions where our service providers operate.

International shipping, including to Canada, may be subject to additional fees disclosed at checkout. International users may have additional rights under applicable law, as described in the Privacy Policy.

32. Miscellaneous

These Terms constitute the entire agreement between you and Memory Gold regarding the Services.

If any provision is found unenforceable, the remaining provisions remain in effect.

You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, financing, restructuring, sale of assets, or by operation of law.

Our failure to enforce a provision is not a waiver.

There are no third-party beneficiaries to these Terms unless expressly stated.
